Terms of Service

These Terms of Service (“Terms”) govern your access to and use of StudyPass, including our website, applications, and related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who we are
StudyPass is operated by [seller legal name], sole trader ([country])(“StudyPass,” “we,” “us,” or “our”). StudyPass is a trading name, not a separate company. You can reach us at support@studypass.app.
2. Eligibility
You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. By using the Service you represent that you meet these requirements.
To purchase a paid plan you must be at least 18 years old, or have the consent of a parent or legal guardian who accepts responsibility for the payments. Do not use a payment method that is not yours.
3. Your account
To use most features you must create an account, which you may do with an email address or through a third-party sign-in provider such as Google. You are responsible for the activity that happens under your account and for keeping your credentials secure. Notify us promptly of any unauthorized use.
4. Your content
The Service lets you upload lectures, notes, textbooks, and other materials (“Your Content”) so that StudyPass can generate quizzes, explanations, and study aids grounded in that material. You retain all rights you have in Your Content. You grant StudyPass a limited, non-exclusive license to host, process, and display Your Content solely to operate and provide the Service to you.
You represent that, for anything you upload, you have the necessary rights and that it does not:
- infringe the intellectual property or privacy rights of others;
- violate any law or the rules of your school or institution; or
- contain unlawful, harmful, or malicious material.
5. Acceptable use
You agree not to:
- use the Service to cheat where prohibited or to violate your institution’s academic-integrity rules;
- reverse engineer, scrape, or attempt to gain unauthorized access to the Service;
- upload malware or interfere with the Service’s operation or security;
- resell, sublicense, or misrepresent the Service; or
- use the Service to generate unlawful, harmful, or abusive content.
6. AI-generated output
StudyPass uses artificial intelligence to produce study material. AI output can be inaccurate or incomplete and is provided for study assistance only. It is not professional, legal, medical, or academic advice. You are responsible for reviewing and verifying any output before relying on it.
7. Plans and payment
StudyPass offers a free plan and a paid Pro plan. The current price of each plan, the currency, what is included, and how often you are billed are shown on our pricing page and again at checkout before you pay. The free plan does not require a payment method.
Paid plans are subscriptions: they renew automatically at the end of each billing period, at the price shown when you subscribed, until you cancel. You can cancel at any time and keep access until the end of the period you have already paid for; cancelling does not, by itself, refund the current period.
Your rights to a refund, and how to ask for one, are set out in our Refund Policy. Nothing in these Terms limits any statutory right of withdrawal or refund you have as a consumer.
If we change the price of a plan, we will give you notice before it applies to your renewal, and you may cancel before the new price takes effect.
8. Who processes your payment
Our order process is conducted by our online reseller Paddle.com. Paddle.com Market Ltd is the Merchant of Record for all our orders: Paddle provides the checkout, handles the payment, and is the seller of record on the transaction.
- Your payment will appear on your card or bank statement as Paddle rather than as StudyPass — this is normal and is not a duplicate or unknown charge.
- Paddle is responsible for calculating, collecting, and remitting any sales tax or VAT on your purchase. Prices may therefore be shown or charged inclusive of tax depending on where you are.
- Paddle handles billing enquiries, invoices, and the mechanics of refunds and cancellations. You can also contact us directly at support@studypass.app and we will deal with it.
- We do not receive or store your full card details at any point.
Your purchase is also subject to Paddle’s buyer terms and conditions.
9. Intellectual property
The Service, including its software, design, and branding, is owned by StudyPass and protected by intellectual property laws. These Terms do not grant you any rights in the Service other than the limited right to use it as permitted here.
10. Third-party services
The Service may rely on or link to third-party services (for example, sign-in providers and AI infrastructure providers). Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.
11. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe it is necessary to protect the Service or other users. Provisions that by their nature should survive termination will survive.
12. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that any output will be accurate.
13. Limitation of liability
To the maximum extent permitted by law, StudyPass will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, use, or profits, arising out of or related to your use of the Service. Our total liability for any claim will not exceed the amount you paid us for the Service in the twelve months before the claim.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting the updated Terms with a new “Last updated” date. Your continued use of the Service after the changes take effect means you accept the revised Terms.
15. Governing law
These Terms are governed by the laws of [country], where StudyPass is established, without regard to its conflict-of-laws rules. Any disputes will be resolved in the competent courts of [country], unless applicable law provides otherwise. If you are a consumer, this does not deprive you of the protection of the mandatory laws of your country of residence.
